These Terms of Service (“Terms”) govern your access to and use of RiskTrak's website and services. By accessing or using our services, you agree to be bound by these Terms.

By creating an account, accessing our website, or using our services, you agree to these Terms, our Privacy Policy, and any additional terms that apply to specific features or services. If you do not agree, you must not use our services.

2. Description of Services

RiskTrak provides an enterprise risk management platform and related services, including but not limited to:

• Real-time risk monitoring and analytics
• Compliance management and tracking
• Virtual CISO (vCISO) advisory services
• Virtual COO (vCOO) advisory services
• Vendor risk management
• Incident response coordination
• Security program development

3. Account Registration and Security

Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

• You are responsible for all activities under your account
• Notify us immediately of unauthorized access
• You must not share your account credentials
• We reserve the right to suspend accounts showing suspicious activity

4. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Use our services for illegal or fraudulent purposes
• Impersonate others or provide false information
• Scrape or harvest data without permission

5. Subscription and Payment

Fees and Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file for all applicable fees.

Free Trials

Free trials are available for eligible accounts. We may require payment information to activate a trial. You will be charged automatically at the end of the trial unless you cancel.

Refunds

Refunds are provided at our discretion. Contact contact@risktrak.io to request a refund within 30 days of purchase.

6. Intellectual Property Rights

Our Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and trademarks, are owned by RiskTrak and protected by intellectual property laws.

Your Data

You retain ownership of data you upload to our platform. By using our services, you grant us a license to use, store, and process your data to provide services.

7. Service Level Agreement (SLA)

We strive to maintain service availability as follows:

• Startup Plan: 99% uptime
• Business Plan: 99.5% uptime
• Enterprise Plan: 99.9% uptime

Scheduled maintenance and force majeure events are excluded from SLA calculations. Service credits may be available for SLA breaches as specified in your agreement.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using our services. This obligation survives termination of these Terms.

9. Disclaimers and Limitations of Liability

Service “As Is”

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, RiskTrak shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

10. Indemnification

You agree to indemnify and hold harmless RiskTrak from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

11. Termination

We may terminate or suspend your account and access to services:

• For violation of these Terms
• For non-payment of fees
• For conduct harmful to other users or our business
• At our discretion, with or without cause

Upon termination, your right to use our services ceases immediately. We will provide access to export your data for a reasonable period following termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of services after changes constitutes acceptance of the modified Terms.
